Due Diligence, Audit & Project Verification Process
A process for raising capital by instituting EB-5 project due diligence and risk analysis reporting to investors, attorneys and agents will be explained.  This process is designed to independently verify the claims being made by the Centers and promoters and give Brokers Dealers levels of due diligence & suitability required by FINRA Rule 2111 and investors confidence in the claims being made by the issuers of the securities.  These reports are  increasingly being asked for by agents, attorneys and investors as well as U.S. Broker Dealers and their sales representatives.

The USAdvisors risk analysis, due diligence analysis is designed toprovide project developers, issuers, Regional Center principals,investors, attorneys, advisors and marketing agents an independent third-party identification and verification of the various risks involved with the project’s ability to achieve two objectives:

1.That the economic activity generated from the creation, expansion,restructuring or preservation of the asset will be sufficient to create sufficient employment to satisfy USCIS regulations within the required period of time and as outlined in the business plan and economic impact report

2.That the value of the asset created or saved will be sufficient to return capital to all investors and creditors in a reasonable period of time and that the exit strategy is clearly is defined and achievable

To this end analysts and contractors will assign a grade to the probabilities of the variables associated with the investor’s immigration and investment goals as noted above. The result of this risk analysis and due diligence will be a better understanding of the risks and probabilities to achieve the investors goals and objectives through investment in the asset being analyzed.

Marketing EB-5 Projects in China: Truth, Lies & Due Diligence

With more than hundreds of employees and six offices in different cities in China, Cansine is one of the largest migration agent companies in China.  Jason is one of the Principals in the Beijing Entry Exit Association and works with the other associations who cover about 60-80% of the EB-5 market and fund raising in China.

EB-5 Project Funding Workshop and Turnbull Capital Group Bridge Lending Platform

This bridge loan program is designed to accelerate the early cash flow of a project, enabling the developer to partially fund upfront expenses up to a year earlier. Qualifying expenses can include land acquisition; acquisition of options on land; engineering expenses; architectural expenses; permit fees; grading and other early-stage horizontal and vertical construction costs.

The lender includes seasoned EB-5 professionals who will handle all underwriting. It is important that the bridge loan is structured in accordance with current USCIS guidelines so as not to negatively affect I-526 approvals. 

  • The maximum loan size is 50% of the EB-5 capital raise;
  • The lender requires collateral of both the EB-5 funds in escrow and a first lien position on the land (mezzanine maybe considered on a case-by-case basis subject to LTV);
  • The initial term is one (1) year with two (2) three (3) month each extension options available for an additional fee;
  • The project must be fully subscribed prior to closing (concessions can sometimes me made on a case-by-case basis);
  • The lender is bridging the I-526 approval risk by the USCIS and not the subscription risk of raising capital from foreign investors;
  • The 100% of the EB-5 funds need to be deposited  into an escrow account with the funding FDIC insured U.S. bank funding lender prior to funding a bridge loan (concessions can sometimes me made on a case-by-case basis);
  • First year interest will be deducted and prorated from the gross loan proceeds like a construction loan;
  • Principal and accrued interest is automatically paid down as escrows are liquidated following approval of the I-526 petitions; and
  • Annual yield maintenance is required.
