EB-5 Funding Workshop Presented by Greenberg Traurig and USAdvisors. This one day session highlighting the use of the EB-5 Visa Immigrant Investor Program as a source of alternative capital will show developers how to harness this vehicle to fund their projects and create U.S. jobs. David Souders will provide a presentation which will identify risks related to a capital raise and your options for mitigating these risks. David will begin with an overview of the various liability risks he and his underwriters have identified in regards to general capital raise activities and more specifically, raising capital through the EB5 program. He will then highlight various ways to minimize these risks by means of avoidance and by transfer to other parties involved in the capital raise.
Finally, David will discuss specialty insurance products designed for those who raise capital via a private offering. His discussion will include clarification as to what liability risks are insurable vs. uninsurable; as well as the specific coverage features a policy must have in order to properly protect your company.

Securities & Legal Due Diligence Considerations, EB-5 Exchange Unveil


Having access to accurate business information about EB-5 projects in an SEC compliant manner is critical to investors, attorneys, wealth managers and institutions, as well as the EB-5 projects and Regional Centers themselves. These panelists will explain the importance of business due diligence and what should be reviewed when evaluating a project. Specifically this panel will describe which factors investors and advisors use to determine value and the probability for success.
The importance of using a FINRA Registered Broker Dealer and the implications of using unregistered finders will be discussed in in depth. The panel will also unveil a new platform entitled EB-5 Exchange whose goal is to accurately distribute EB-5 project information in an effort to assist investors in making informed decisions on where to invest as well as well as to allow developers access to Designated Regional Centers in an effort to foster collaboration on new projects..
The goal of the Exchange will be to accurately distribute EB-5 project information to investors and their counsel on which they can make informed decisions on where to invest as well as allow developers access to Centers who they may collaborate with to raise funds under existing USCIS designations.
This discussion will also include describe which factors investors and advisors use to determine value and the probability for success as well as the necessity for working with FINRA Registered Broker Dealers to avoid violating issue exemptions, investor litigation and possibly facing rescission.

The Individual Investor Process


It is critical that your Regional center and/or project keeps its reputation above reproach- with the community, the USCIS and with other potential investors. Delays in petitions approvals due to source of fund or background issues can wreak havoc on a project. It is important to ensure… immigrant investor funds released from escrow and remain in the project until individual investor I -526 and I-829 petitions are approved. Be careful, be selective; the requirements of individual investor petitions including documentation of lawful source and trace of funds.
